By accessing or using Averon Labs' services, you acknowledge that you have read, understood, and agreed to these Terms of Service. These terms apply to all users, clients, contractors, and organizations engaging with our software, AI solutions, consulting, and digital services. Continued use of our services constitutes acceptance of these terms.

Averon Labs provides AI solutions, software development, digital engineering, cloud services, automation, business consulting, EdTech solutions, and technical content services. The exact scope, deliverables, pricing, and timelines are defined separately in project proposals, contracts, or Statements of Work (SOW).

Clients are responsible for providing complete project requirements, timely approvals, accurate documentation, required system access, and prompt communication. Delays in providing these may impact project timelines and delivery schedules.

Unless otherwise agreed in writing, all proprietary frameworks, development methodologies, AI models, automation tools, reusable code libraries, documentation, and internal assets remain the intellectual property of Averon Labs. Ownership of final deliverables transfers only after full payment has been received.

Both Averon Labs and the client agree to maintain strict confidentiality regarding all business information, technical documentation, source code, credentials, strategies, and proprietary data shared throughout the engagement unless disclosure is legally required.

Invoices are payable according to the payment schedule outlined in the agreement. Late payments may result in delayed deliveries, suspension of ongoing work, or termination of services. Any applicable taxes or international transaction fees are the client's responsibility unless otherwise agreed.

Project delivery timelines are estimated based on agreed requirements. Changes in scope, additional feature requests, delayed approvals, or unforeseen technical challenges may require schedule revisions. Updated timelines will be communicated whenever necessary.

Projects include revisions as specified in the proposal. Requests beyond the approved scope or excessive revisions may incur additional charges and revised timelines. Major feature additions are treated as separate change requests.

We implement industry-standard security measures to protect client information, project assets, and confidential data. While reasonable safeguards are maintained, no online system can guarantee absolute security against every potential threat.

All services are delivered using professional standards and industry best practices. However, Averon Labs does not guarantee uninterrupted operation, complete error-free functionality, or compatibility with every third-party platform or service.

To the maximum extent permitted by law, Averon Labs shall not be liable for indirect, incidental, consequential, or special damages, including loss of revenue, profits, business opportunities, or data arising from the use of our products or services.

We reserve the right to suspend or terminate services if these Terms are violated, payments remain outstanding, intellectual property is misused, or unlawful activities are detected. Clients may also terminate services according to their contractual agreement.

These Terms of Service shall be governed and interpreted in accordance with the applicable laws of the jurisdiction stated in the project agreement. Any disputes shall be resolved through the competent courts within that jurisdiction.

Averon Labs may revise these Terms of Service periodically to reflect changes in business operations, legal requirements, or service offerings. The latest version will always be available on our website with the updated revision date.
